Citizens & Northern Corporation Announces Extension of Exchange Offer

Wellsboro, PA – Citizens & Northern Corporation (NASDAQ: CZNC) (“C&N”) announced today that it extended its offer to holders of $25 million in aggregate principal amount of its 3.25% fixed to floating rate subordinated notes due 2031 (the “Old Notes”), issued May 19, 2021, to exchange the Old Notes for a like principal amount of notes with identical terms other than that such new notes have been registered under the Securities Act of 1933, as amended.

The exchange offer, which had been scheduled to expire on August 23, 2021 at 11:59 p.m., New York City time, will now expire at 11:59 p.m., New York City time, on August 31, 2021, unless further extended by C&N. All other terms, provisions and conditions of the exchange offer will remain in full force and effect. UMB Bank, N.A. is serving as exchange agent for the exchange offer.

C&N said it has been informed by the exchange agent that, as of August 23, 2021 at 9:00 a.m., New York City time, $21,600,000 in aggregate principal amount of the Old Notes had been tendered in the exchange offer. This amount represents approximately 87% of the Old Notes.
